Abstracts are used by other researchers to establish the relevance of the study to their own work. Therefore, they should contain the what, why, who, where and how of your project.  

They are typically between 250 – 300 words long, offer a summary of the main findings and present the conclusions, so you should attempt to write an abstract (if requested), after you have finished writing the dissertation.

The table of contents should list all the items included in your dissertation.  

It is a good idea to use the electronic table of contents feature in Word to automatically link it to your chapter headings and page numbers. Introduction

The introduction explains the how, what, where, when, why and who of the research. It introduces the reader to your dissertation and should act as a clear guide as to what it will cover.  

The introduction may include the following content: 

Introduce the topic of the dissertation

  • State why the topic is of interest 
  • Give background information on the subject. 
  • Refer to the main debates in the field

Identify the scope of your research 

  • Highlight what hasn't already been said by the literature  
  • Demonstrate what you seek to investigate, and why

Indicate your approach

Literature Review

The term “literature” in “literature review” comprises scholarly articles, books, and other sources (e.g. reports) relevant to a particular issue, area of research or theory. In a dissertation, the literature review illustrates what the literature already says on your research subject, providing summary and synthesis of such literature.  

It is generally structured by topic, starting from general background and concepts, and then addressing what can be found - and cannot be found - on the specific focus of your dissertation. Indeed, the literature review should identify gaps in the literature, that your research aims to fill. This requires you to engage critically with the literature, not merely reproduce the critical understanding of others.  

In sum, literature reviews should demonstrate how your research question can be located in a wider field of inquiry. Therefore, a literature review needs to address the connections between your work and the work of others by highlighting links between them. In doing so, you will demonstrate the foundations of your project and show how you are taking the line of inquiry forwards.  

By the end of your literature review, your reader should be able to see: 

The gap in knowledge and understanding which you say exists in the field. 

How your research question will work within that gap. 

The work other researchers have carried out and the issues debated in the field. 

That you have a good understanding of the field and that you are critically engaged with the debates (Burnett, 2009).

Theme Chapters

In a thematic structure, the core chapters present analysis and discussion of different themes relevant to answer the research question and support the overall argument of the dissertation. The chapters will include analysis of texts/ research material. They can explore and connect academic theories/research to develop an argument. Stella Cottrell offers some good guidance on how to structure your theme chapters. Each chapter should have the following elements (Cottrell, 2014, p183):

Theme: What is the theme of this chapter? Sequence your themes logically (e.g. from general to specific).  

Argument: What argument does this chapter present?  

Material: What material you will be using for this chapter? 

Clustering: What are the main points you want to make? Deal with one point at a time, and don't jum around? Dedicate your points to sub-headings and paragraphs.  

Sequence: In what order are you going to present the points you want to make in this chapter? Draw an outline of the chapter before starting writing it.  

Introduction and Conclusion: Each chapter should have a short introduction and conclusion. 

The conclusion is the final chapter of your dissertation. It should flow logically from the previously presented text; therefore, you should avoid introducing new ideas, new data, or a new direction.  

Ideally, the conclusion should leave the reader with a clear understanding of the discovery or argument you have advanced.  

This can be done by: 

Summarising and synthesising your main findings and how they relate to your research question or hypotheses  

Demonstrating the relevance and importance of your work in the wider context of your field. For example, what recommendations would you make for future research? What do we know now that we didn’t know before? 

Link your conclusion to your introduction as both frame your dissertation. 

A conclusion is roughly five to ten percent of the word count of the dissertation. 

Avoid excessive detail. Decide what your reader needs to know. 

Don’t introduce any new information such as theories, data or ideas.  

Sum up the main points of your research.  

Bibliography

While writing your dissertation, you would have referred to the works and research of many different authors and editors in your field of study. These works should be acknowledged in the bibliography where you will list writers alphabetically by surname. 

For example: 

Poloian, L.R. (2013).  Retailing principles: global, multichannel, and managerial viewpoints.  New York: Fairchild.  Biggs, J. and Tang, C. (2011).  Teaching for quality learning at university . Maidenhead: Open University Press.  Ramsay, P., Maier, P. and Price, G. (2010).  Study skills for business and management students . Unless otherwise specified by your module leader, the University uses the Harvard (author-date) style of citing and referencing. While the main results of your study should be placed in the body of your dissertation, any extra information can be placed in the appendices chapter. This supplementary information, for instance, can consist of graphs, charts, or tables that demonstrate less significant results or interview transcripts that would disrupt the flow of the main text if they were included within it.  

You can create one long appendix section or divide it into smaller sections to make it easier to navigate. For example, you might want to have an appendix for images, an appendix for transcripts, and an appendix for graphs. Each appendix (each graph or chart, etc.) should have its own number and title. Further, the sources for all appendices should be acknowledged through referencing and listed in the bibliography. 

Don’t forget to mention each appendix at least once during your dissertation! This can be done using brackets in the following way: (see appendix 1).

Table of contents

Acknowledgements, table of contents, list of figures and tables, list of abbreviations, introduction, literature review / theoretical framework, methodology, reference list.

The very first page of your document contains your dissertation’s title, your name, department, institution, degree program, and submission date. Sometimes it also includes your student number, your supervisor’s name, and the university’s logo. Many programs have strict requirements for formatting the dissertation title page .

The acknowledgements section is usually optional, and gives space for you to thank everyone who helped you in writing your dissertation. This might include your supervisors, participants in your research, and friends or family who supported you.

The abstract is a short summary of your dissertation, usually about 150-300 words long. You should write it at the very end, when you’ve completed the rest of the dissertation. In the abstract, make sure to:

  • State the main topic and aims of your research

In the table of contents, list all of your chapters and subheadings and their page numbers. The dissertation contents page gives the reader an overview of your structure and helps easily navigate the document.

All parts of your dissertation should be included in the table of contents, including the appendices. You can generate a table of contents automatically in Word.

If you have used a lot of tables and figures in your dissertation, you should itemise them in a numbered list . You can automatically generate this list using the Insert Caption feature in Word.

If you have used a lot of abbreviations in your dissertation, you can include them in an alphabetised list of abbreviations so that the reader can easily look up their meanings.

If you have used a lot of highly specialised terms that will not be familiar to your reader, it might be a good idea to include a glossary . List the terms alphabetically and explain each term with a brief description or definition.

In the introduction, you set up your dissertation’s topic, purpose, and relevance, and tell the reader what to expect in the rest of the dissertation. The introduction should:

  • Establish your research topic , giving necessary background information to contextualise your work
  • Narrow down the focus and define the scope of the research
  • Discuss the state of existing research on the topic, showing your work’s relevance to a broader problem or debate
  • Clearly state your objectives and research questions , and indicate how you will answer them
  • Give an overview of your dissertation’s structure

Before you start on your research, you should have conducted a literature review to gain a thorough understanding of the academic work that already exists on your topic. This means:

  • Collecting sources (e.g. books and journal articles) and selecting the most relevant ones
  • Critically evaluating and analysing each source
  • Drawing connections between them (e.g. themes, patterns, conflicts, gaps) to make an overall point

In the dissertation literature review chapter or section, you shouldn’t just summarise existing studies, but develop a coherent structure and argument that leads to a clear basis or justification for your own research. For example, it might aim to show how your research:

  • Addresses a gap in the literature
  • Takes a new theoretical or methodological approach to the topic
  • Proposes a solution to an unresolved problem
  • Advances a theoretical debate
  • Builds on and strengthens existing knowledge with new data

The literature review often becomes the basis for a theoretical framework , in which you define and analyse the key theories, concepts and models that frame your research. In this section you can answer descriptive research questions about the relationship between concepts or variables.

The methodology chapter or section describes how you conducted your research, allowing your reader to assess its validity. You should generally include:

  • The overall approach and type of research (e.g. qualitative, quantitative, experimental, ethnographic)
  • Your methods of collecting data (e.g. interviews, surveys, archives)
  • Details of where, when, and with whom the research took place
  • Your methods of analysing data (e.g. statistical analysis, discourse analysis)
  • Tools and materials you used (e.g. computer programs, lab equipment)
  • A discussion of any obstacles you faced in conducting the research and how you overcame them
  • An evaluation or justification of your methods

Your aim in the methodology is to accurately report what you did, as well as convincing the reader that this was the best approach to answering your research questions or objectives.

Next, you report the results of your research . You can structure this section around sub-questions, hypotheses, or topics. Only report results that are relevant to your objectives and research questions. In some disciplines, the results section is strictly separated from the discussion, while in others the two are combined.

For example, for qualitative methods like in-depth interviews, the presentation of the data will often be woven together with discussion and analysis, while in quantitative and experimental research, the results should be presented separately before you discuss their meaning. If you’re unsure, consult with your supervisor and look at sample dissertations to find out the best structure for your research.

In the results section it can often be helpful to include tables, graphs and charts. Think carefully about how best to present your data, and don’t include tables or figures that just repeat what you have written  –  they should provide extra information or usefully visualise the results in a way that adds value to your text.

Full versions of your data (such as interview transcripts) can be included as an appendix .

The discussion  is where you explore the meaning and implications of your results in relation to your research questions. Here you should interpret the results in detail, discussing whether they met your expectations and how well they fit with the framework that you built in earlier chapters. If any of the results were unexpected, offer explanations for why this might be. It’s a good idea to consider alternative interpretations of your data and discuss any limitations that might have influenced the results.

The discussion should reference other scholarly work to show how your results fit with existing knowledge. You can also make recommendations for future research or practical action.

The dissertation conclusion should concisely answer the main research question, leaving the reader with a clear understanding of your central argument. Wrap up your dissertation with a final reflection on what you did and how you did it. The conclusion often also includes recommendations for research or practice.

In this section, it’s important to show how your findings contribute to knowledge in the field and why your research matters. What have you added to what was already known?

You must include full details of all sources that you have cited in a reference list (sometimes also called a works cited list or bibliography). It’s important to follow a consistent reference style . Each style has strict and specific requirements for how to format your sources in the reference list.

Your department will often specify which referencing style you should use – for example, psychology students tend to use APA style , humanities students often use MHRA , and law students always use OSCOLA . Introduction

Whilst there are plenty of resources available to help prospective PhD students find doctoral programmes, deciding on a research topic is a process students often find more difficult.

Some advertised PhD programmes have predefined titles, so the exact topic is decided already. Generally, these programmes exist mainly in STEM, though other fields also have them. Funded projects are more likely to have defined titles, and structured aims and objectives.

Self funded projects, and those in fields such as arts and humanities, are less likely to have defined titles. The flexibility of topic selection means more scope exists for applicants to propose research ideas and suit the topic of research to their interests.

A middle ground also exists where Universities advertise funded PhD programmes in subjects without a defined scope, for example: “PhD Studentship in Biomechanics”. The applicant can then liaise with the project supervisor to choose a particular title such as “A study of fatigue and impact resistance of biodegradable knee implants”.

If a predefined programme is not right for you, then you need to propose your own research topic. There are several factors to consider when choosing a good research topic, which will be outlined in this article.

How to Choose a Research Topic

Our first piece of advice is to PhD candidates is to stop thinking about ‘finding’ a research topic, as it is unlikely that you will. Instead, think about developing a research topic (from research and conversations with advisors).

Consider several ideas and critically appraise them:

  • You must be able to explain to others why your chosen topic is worth studying.
  • You must be genuinely interested in the subject area.
  • You must be competent and equipped to answer the research question.
  • You must set achievable and measurable aims and objectives.
  • You need to be able to achieve your objectives within a given timeframe.
  • Your research question must be original and contribute to the field of study.

We have outlined the key considerations you should use when developing possible topics. We explore these below:

Focus on your interests and career aspirations

It is important to choose a topic of research that you are genuinely interested in. The decision you make will shape the rest of your career. Remember, a full-time programme lasts 3-4 years, and there will be unforeseen challenges during this time. If you are not passionate about the study, you will struggle to find motivation during these difficult periods.

You should also look to your academic and professional background. If there are any modules you undertook as part of your Undergraduate/Master degree that you particularly enjoyed or excelled in? These could form part of your PhD research topic. Similarly, if you have professional work experience, this could lead to you asking questions which can only be answered through research.

When deciding on a PhD research topic you should always consider your long-term career aspirations. For example, as a physicist, if you wish to become an astrophysicist, a research project studying black holes would be more relevant to you than a research project studying nuclear fission.

Read dissertations and published journals

Reading dissertations and published journals is a great way to identify potential PhD topics. When reviewing existing research ask yourself:

  • What has been done and what do existing results show?
  • What did previous projects involve (e.g. lab-work or fieldwork)?
  • How often are papers published in the field?
  • Are your research ideas original?
  • Is there value in your research question?
  • Could I expand on or put my own spin on this research?

Reading dissertations will also give you an insight into the practical aspects of doctoral study, such as what methodology the author used, how much data analysis was required and how was information presented.

You can also think of this process as a miniature literature review . You are searching for gaps in knowledge and developing a PhD project to address them. Focus on recent publications (e.g. in the last five years). In particular, the literature review of recent publications will give an excellent summary of the state of existing knowledge, and what research questions remain unanswered.

If you have the opportunity to attend an academic conference, go for it! This is often an excellent way to find out current theories in the industry and the research direction. This knowledge could reveal a possible research idea or topic for further study.

Discuss your research topic ideas with a supervisor. This could be your current undergraduate/masters supervisor, or potential supervisors of advertised PhD programmes at different institutions. Talking to an expert in the field can shape your research topic to something more tangible, which has clear aims and objectives. It can also find potential shortfalls of your PhD ideas.

It is important to remember, however, that although it is good to develop your research topic based on feedback, you should not let the supervisor decide a topic for you. An interesting topic for a supervisor may not be interesting to you, and a supervisor is more likely to advise on a topic title which lends itself to a career in academia.

Another tip is to talk to a PhD student or researcher who is involved in a similar research project. Alternatively, you can usually find a relevant research group within your University to talk to. They can explain in more detail their experiences and suggest what your PhD programme could involve with respect to daily routines and challenges.

Write daily

This is a time to have honest conversations with yourself about your writing and work habits. Do you tackle the most challenging work in the morning? Or do you usually start with emails? Knowing your work routine will help you set parameters for the writing process, which includes various elements, from brainstorming ideas to setting outlines and editing. Once you are aware of your energy and focus levels, you’ll be ready to dedicate those times to writing.

While it might be tempting to block a substantial chunk of time to write and assume anything shorter is not useful, that is not the case. Writing daily, whether it’s a paragraph or several pages, keeps you in conversation with your writing practice. If you schedule two hours to write, remember to take a break during that time and reset. You can try:

  • The Pomodoro Technique: a time management technique that breaks down your work into intervals
  • Taking breaks: go outside for a walk or have a snack so you can come back to your writing rejuvenated

While writing can be an isolating endeavour, there are ways to start forming a community (in-person or virtual) to help you set goals and stay accountable. Alternatively, explore your university’s resources and centres because there may be units and departments on campus that offer helpful opportunities, such as a writing week or retreat. Taking advantage of these opportunities helps combat isolation, foster accountability and grow networks. They can even lead to collaborations further down the line.

  • Check in with your advisers and mentors. Reach out to your networks to find out about other people’s writing processes and additional resources.
  • Don’t be afraid to share your work. Writing requires constant revisions and edits and finding people who you trust with feedback will help you grow as a writer. Plus, you can also read their work and help them with their editing process.
  • Your community does not have to be just about writing!  If you enjoy going on hikes or trying new coffee shops, make that part of your weekly habit.  Sharing your work in different environments will help clarify your thoughts and ideas.

Address the why

The PhD dissertation writing process is often lengthy and it is sometimes easy to forget why you started. In these moments, it can be helpful to think back to what got you excited about your research and scholarship in the first place. Remember it is not just the work but also the people who propelled you forward. One idea is to start writing your “acknowledgements” section. Here are questions to get you started:

  • Do you want to dedicate your work to someone? 
  • What ideas sparked your interest in this journey? 
  • Who cheered you on? 

This practice can help build momentum, as well as serve as a good reminder to carve out time to spend with your community.

Additionally, if you plan on collaborating with other researchers or institutions in order to complete your project, additional considerations must be taken into account such as coordinating schedules and ensuring that all parties involved have adequate resources available.

The purpose of this transcendental phenomenological study was to describe the lived experiences of individuals with intellectual disabilities in an inclusive postsecondary education program. The theories that guided this study are Oliver’s theory on the social model of disability and Vygotsky’s theory of social constructivism. This study used a transcendental research design and employed the use of purposeful sampling to select participants who have all experienced the same phenomenon. There were 10 participants who have all had the same experience of attending an inclusive postsecondary education program. The setting took place at P.C.C. in the C.A. program. The central research question asked, what are the lived experiences of individuals with intellectual disabilities enrolled in inclusive postsecondary career and technical training programs located on a college campus? Data collection types included interviews, journal prompts, and focus groups. A system of coding along with epoché, horizontalization of data, and structural descriptions were used for data analysis to determine major themes from the data collected. The trustworthiness, results, and findings of the study are also discussed. Findings included five themes and two sub-themes. The five themes were education and career aspirations, concept of inclusion, inclusivity and social engagement, campus engagement and support networks, and sense of belonging. The two sub-themes were career and professional development and real-world application and practice. The dissertation then moves into an overall discussion of the interpretation of the findings, the implications of the study, limitations, delimitations, and recommendations for future research. The dissertation ends with a conclusion that summarizes the full study.

Developing an effective M&A blueprint for insurers

At its core, programmatic M&A  is not a volume play; it’s a strategy for systematically acquiring small to midsize businesses, services, and capabilities and for effectively integrating them as new businesses or capabilities. Companies that adopt this approach to deal making , including a select group of insurers in both the life and property and casualty (P&C) sectors, have generated superior excess TSR by focusing on a series of smaller acquisitions to diversify product offerings or add new capabilities—rather than traditional financial-sector M&A goals that emphasize building scale.

This article is a collaborative effort by Alex D’Amico , Oliver Engert , Jay Gelb , Sean O’Connell , Kurt Strovink , and Liz Wol , representing views from McKinsey’s Insurance and Strategy & Corporate Finance Practices.

It’s an approach insurers should consider. Deal making in the sector is likely to be brisk in the coming years as insurers seek to grow and diversify their earnings. Life insurers face ongoing challenges to sustaining growth in core life and annuity businesses; they also remain focused on improving ROE profiles by divesting or reinsuring legacy blocks. Meanwhile, P&C carriers are likely to seek bolt-on deals of companies that enhance their presence in growth markets and offer attractive cross-cycle ROE.

To support a programmatic approach to M&A, acquirers need to canvass a large number of potential acquisitions—as many as two to three times more than they did several years ago. But in our experience, many insurance carriers are facing that volume of activity with little more than the most basic framework describing the how and why of their M&A strategy. In a recent informal poll of insurance executives who focus on strategy, business development, and M&A, 1 Our informal poll, completed in the fourth quarter of 2021, solicited input from 12 North American insurance executives, representing traditional carriers as well as newer entrants. Seven of the 12 respondents reported closing at least one or two deals per year over the past five years, with none of them characterized as large deals. we found that some believe they have relevant capabilities in place given their frequent engagement in M&A (Exhibit 1). Yet few of these rise to the level of what we would define as a fully developed M&A blueprint . Without such a blueprint, companies will find it hard to distinguish between through-cycle opportunities  (during both upcycles and downturns) that are consistent with their corporate strategy and low-hanging opportunistic deals available in the marketplace that are not. Furthermore, without a developed M&A blueprint, insurers are more likely to pursue ad hoc synergies around each target with hit-or-miss returns.

A robust M&A blueprint addresses where, why, and how a company will undertake a systematic program of acquisition. It lays out well-defined themes and criteria that are explicitly grounded in strategy, builds conviction and alignment of stakeholders, and sets clear boundaries and integration plans. The result is that companies can be both more proactive and more opportunistic at identifying potential acquisition targets and will be better prepared for negotiations and integration. As important, an effective M&A blueprint will be an invaluable tool for executives communicating a compelling story, both internally and to investors, about the company’s deal-making strategy and its vision for the future.

Where and why

The foundation of any M&A blueprint is an explicit articulation of how M&A aligns with and furthers a company’s growth strategy. Companies that acquire businesses expecting to refine the strategic rationale later are unlikely to reap the rewards of programmatic deal making. So are those that see smaller acquisitions as malleable building blocks to be pieced together ad hoc, that take an opportunistic approach to M&A, or that proceed without a pressure-tested integration playbook.

For companies considering acquisitions, an M&A blueprint should target specific growth themes and boundary conditions that reflect a comprehensive self-assessment of a company’s competitive advantages as well as the compelling strategy requirements for its business model that make it well suited to pursue M&A in a specific area. For example, a personal lines P&C carrier’s corporate strategy included enhancing customer growth through a digital engagement platform. Confident in the company’s ability to rapidly scale new businesses, managers decided that a program of M&A to acquire the various components of an integrated, direct-to-consumer platform would be the best way to accelerate domestic growth and support international expansion.

Identifying growth themes

An effective blueprint for programmatic M&A identifies at most three actionable M&A growth themes. 2 Even experienced programmatic acquirers are often unable to focus on more than three M&A themes. Even so, companies with highly distinct business units, such as life and P&C insurance, could identify more than three themes. But in general, for carriers new to this approach, focusing on one or two M&A growth themes to start with could be more beneficial. These themes should be areas where the company can add value to targets and needs M&A to deliver its strategy. They might include, for example, themes leading to superior product manufacturing capabilities across life and annuities as well as personal and commercial P&C lines, the ability to operate effectively in multiple international markets—which can be difficult to achieve through organic growth—or opportunities to target smaller companies with differentiated offerings and niche areas, including asset management or specialty commercial P&C lines.

A vague M&A blueprint with an unclear link to strategy tends to lead to overly broad objectives for deal making. “Increasing our digital focus,” for example, is not specific enough to help executives identify potential M&A targets. A more actionable objective might be framed as “improving underwriting methodology by acquiring companies with expertise in areas such as data analytics, intelligent pricing, antifraud, and telematics.”

Converging around the top one to three areas where M&A can most substantially advance the organization’s strategy takes some planning. Getting a group of executives to agree on a shortlist of M&A themes is bound to evoke some friction. If you were to go around the table at the next strategy meeting and ask your company’s senior leadership team to identify the organization’s top M&A themes, you’d likely end up with a long list of ideas. That’s acceptable, at first, because such an exercise can serve as a mechanism that compels everyone to take a closer look at their data, assumptions, and biases—a process that elevates awareness and understanding. But eventually, the most effective M&A blueprints also reflect alignment and conviction among senior leadership (including business unit leadership and the business development team) around a shortlist of M&A themes.

Among the North American insurance industry M&A executives we polled, the two most common objectives of pursuing deals are the acquisition of new capabilities and the expansion of product and service offerings. Less relevant acquisition rationales included expanding geographically, realizing economies of scale, and acquiring undervalued companies.

The CFO of one leading insurance company successfully focuses the carrier’s M&A agenda around a prioritized set of growth and capability themes. Close collaboration between the CFO’s team and business unit leaders enables the company to identify top acquisition candidates—which is a big factor in their success at conducting due diligence on dozens of potential targets each year. This company successfully completes multiple bolt-on deals per year, many of which are privately negotiated transactions cultivated through proactive sourcing rather than well-known opportunities in the marketplace. In addition, the CFO’s team uses its playbook to create value and meet integration targets, which maintains capabilities, improves the cost structure, and typically includes a boundary condition of achieving earnings accretion within 12 months.

Setting boundary conditions

One aspect of this assessment that is often overlooked is an explicit acknowledgment of the market and organizational forces that define the boundaries of a company’s deal making in terms of size, type, and pace. The most concrete boundary is probably how much capital an insurer has on hand or can raise to fund a program of acquisitions—including capital not just for funding acquisitions but also for integrating and scaling each asset.

Boundary conditions might also include financial metrics such as those reflecting an insurer’s growth targets, margins, earnings, or ROE. If a carrier is only anchored on certain return metrics, such as ROE or ROIC, to track ongoing performance of an acquired asset, then high-growth, early-stage companies often look less attractive. Alternatively, if an insurer is willing to look at an array of metrics based on the asset profile—such as ROE or ROIC for mature assets versus top-line growth for early-stage innovators—then it will have a greater degree of freedom for deal making. Finally, even softer assessments of organizational and cultural fit, financial limitations, or regulatory boundaries can further narrow the scope of potential targets.

Establishing these boundary conditions early—with explicit agreement from the CFO and the board—can help put teeth into investment commitments and align everyone on negotiable and nonnegotiable terms. Consider, for example, the case of one personal lines carrier. Over the years, the company had a generally successful track record of acquiring large insurers to add new brands and customer segments. However, these acquisitions were seldom fully integrated, resulting in unwieldy productivity metrics and a collection of separately maintained corporate functions, such as finance and HR. This M&A strategy worked reasonably well until the company realized its loose approach was not scalable. The insurer addressed this issue by resetting both its organizational and M&A approaches and refining its methodology to implement a series of boundary conditions for acquisitions linked to tightened integration parameters. These included centralized corporate functions that created additional efficiencies, rather than maintaining separate corporate functions for each company it acquired. As a result, the company is now able to effectively pursue growth through M&A.

Programmatic acquirers must give careful thought to how they plan to pursue M&A—a critical part of the M&A blueprint to advance their strategic plans.

How: A foundation for action

Programmatic acquirers must give careful thought to how they plan to pursue M&A—a critical part of the M&A blueprint to advance their strategic plans. This process includes constructing a high-level business case to identify the objectives and preliminary integration plans for each area. It also includes identifying the right capabilities and resources for each part of the deal-making process, as well as plans for tailoring the approach for each specific deal. Plans may need adjustments to reflect each deal’s sources of risk and whether value opportunities will come from consolidation, capability building, or new business opportunities, for example.

Business case to identify objectives

Once priority M&A themes and boundary conditions are established, the next critical step is to develop a granular road map for execution. The road map should identify how an acquisition would create value and create screening criteria to prioritize potential targets—within the boundary conditions of feasibility and availability.

Once the business case is developed at the theme level, carriers need to develop a plan for each identified acquisition candidate, including a top-down growth plan, capital and cost synergy assumptions, risk mitigation, and a determination of the investment needed to scale the asset. An effective business plan should be continuously refined based on the target’s relative size, its level of similarity with the acquiring business, and, as acquirers learn more about an asset, its working culture.

It is important to recognize that in a seller’s market, buyers face the risk of overpaying for an attractive asset. A critical way to reduce this risk is to apply the discipline of developing an M&A blueprint inclusive of a theme-level business case. This process is designed to enhance the due-diligence process and allow organizations to avoid making costly mistakes that are inconsistent with their growth strategies.

Capabilities and execution

Part of the self-assessment involved in developing an M&A blueprint is a review of the company’s internal talent; its capabilities; and the time needed to evaluate, pursue, and execute M&A deals, both before and after a transaction. If there are unknowns, what are the gaps that need to be addressed?

We recommend that companies develop a comprehensive integration playbook as part of the overall blueprint, including key activities for each area (such as value capture, cultural integration, and revenue synergies) and specific leadership roles that must be filled for a successful transaction. This includes senior sponsors in the organization, ideally business unit leaders who own initiatives and assign working teams against them.

At least half of the carriers we polled have playbooks centered on the initial stages of a deal, including target identification, due diligence, valuation, and integration planning checklists. But most of them lack guidelines about tailoring execution—a critical factor in the most effective acquisitions  (Exhibit 2). In particular, based on different deal archetypes in insurance, acquirers might have different perspectives on who leads across five critical design areas of merger integration:

  • Governance: Who leads the overall value creation planning and business case development and review, and how they do it?
  • Leadership: Who coordinates the integration and organization effort across ideation, business case development, approval, and rigorous tracking?
  • Scope: What do we integrate, and to what extent, to realize the value aspiration?
  • Speed and pace: How fast should we go, and how coordinated should the effort be?
  • Culture and talent: How will we handle people?

One leading global player with a history of delivering strong M&A returns employs a highly disciplined, sponsor-oriented approach to deal making. The CFO assigns leadership roles to specific executives, who have ultimate responsibility for deal execution and integration. This approach ensures speedy decision making, which unblocks pain points and helps deliver a deal’s full value.

Building conviction

Embarking on a program of M&A requires conviction, commitment, and buy-in from internal and external stakeholders alike. An effective M&A blueprint, when developed collaboratively, can ensure that competing viewpoints are heard inside the company and that risks and opportunities are thoroughly vetted. This better prepares the CEO to communicate with the board but also enables the acquisition team to seek the support of its acquisition targets.

Drafting the M&A blueprint

An M&A blueprint isn’t something a single executive can draft—and it isn’t much use if it’s developed after the fact to confirm the hypotheses supporting an exciting deal. The best blueprints reflect senior-level coordination between corporate-strategy and corporate-development executives whose collective alignment helps build conviction in their decision to commit capital to transactions. When alignment is established, the process becomes efficient because executives are not debating which types of deals to target. This alignment occurs in no small part due to a transparent and unambiguous approach from the CEO.

After one deal failed to cross the finish line, a mutual insurer’s CEO and head of M&A conducted a six-week exercise to assess and strengthen the company’s M&A approach. As a result, the company aligned its growth themes and developed a process to scan for broadened opportunities—enhancements that led to a threefold increase in the number of potential acquisition candidates. The new blueprint increased the company’s confidence in deal making and ultimately led to multiple equity investments in companies that generated substantial financial returns and turbocharged capabilities.

Your reputation as an acquirer

For programmatic acquirers, today’s competitive M&A landscape has characteristics of a seller’s market. Small and midsize companies with innovative technology, next-generation products, undeveloped intellectual assets, or even well-honed capabilities in underserved markets can have multiple suitors—and they’re often interested in more than just the bottom-line sale price. As a result, acquirers need to make longer-term investments to build conviction in acquisition targets. Yet nearly half the carriers we polled lack a clear owner for proactive target cultivation, and only one-third of carriers regularly establish relationships with potential M&A targets.

Some acquirers maintain lists of potential acquisition targets and cultivate relationships with them, and we expect more companies to begin following suit in the next year or two. This development will change the job responsibilities of carriers’ most senior executives, including the CEO. For example, one global insurance industry leader keeps an extended list of close to 100 potential acquisition candidates. Executives update this list quarterly and actively reach out to candidates to cultivate them for potential fit and deals. Senior leaders will need to allocate greater portions of their time to cultivating acquisition candidates. As a result, they need to have time blocks (appropriately leveraged in coordination and collaboration with others) focused on developing long-term relationships with targets that might ultimately lead to acquisitions.

The most successful acquirers also take the long view on establishing and supporting their brand identity as a desirable buyer. Companies known for treating people fairly after an acquisition—as well as caring about the knowledge they bring to the enterprise—often enjoy an advantaged position among competing acquirers. A robust M&A blueprint should explicitly address a company’s reputation as a buyer, how that reputation will play out in the acquisition process, and how the acquisition team might use the blueprint as a screening criterion in cultivating acquisition candidates.

Programmatic M&A is a strategy for systematically building new businesses, services, and capabilities and effectively integrating them to build something that did not exist before. The companies that use a programmatic approach create deal flow linked to their conviction in their corporate strategy, understanding of their competitive advantage, and confidence in their capacity to execute.

When Paul and Amy Yanzer created their nonalcoholic cocktail and beverage company, they chose the name  Forward Beverage Co .  

Forward is a nod to their purposeful path in the beverage industry, with a wink to the couple’s Wisconsin roots and the state's motto. 

Paul Yanzer, a chemist, was working at Octopi Brewing in Waunakee when he started to consider creating his own products. The University of Wisconsin-Eau Claire graduate did a lot of taste testing every day. It got to be a bit much, and eventually he chose to quit drinking alcohol entirely.

Most nonalcoholic beers were not an option for him, since he tried to avoid gluten, and he didn’t want soda or other sugary drinks. Water became the default drink at every outing. That was the push he needed.

Tapping into his chemistry background, he decided to create his own line of nonalcoholic and functional drinks. In September 2023, the couple opened Forward Beverage Co. with a store and taproom at 303 N. Third St. in downtown Wausau.

Forward Beverage Co.’s ready-to-drink nonalcoholic canned beverage line includes soft cocktails and social seltzers with CBD. Cans can be shipped nationwide, with prices starting at $5 for soft cocktails and $7 for social seltzers. The Yanzers are working with a distributor and expect to be in southeastern Wisconsin retail locations this summer. 

 They talked with us by phone about their inspirations and how nonalcoholic options, including those with CBD and hemp extract, are becoming increasingly popular. 

How he went from chemistry to cocktails and CBD

Paul : I graduated from UW-Eau Claire in 2008 with a degree in chemistry. I worked for USGS in La Crosse on an aquatic invasive species program. ... When Amy and I got married, I worked in Chicago at the medical examiner’s office and did toxicology studies. I moved into pharmaceuticals in Madison after moving there for Amy’s job. 

I always wanted to start my own business. I started a (nutritional supplement) company with a friend of mine on the Madison Fire Department. Then COVID. I got a job at  Octopi Brewing (a contract beverage facility). I was brought on to do CBD waters and those types of drinks. 

 I developed a recipe for an all-natural CBD emulsion, so that oils can stay stable and mix with water. I don't use any synthetics, all food-safe ingredients, and it stays stable over a few years. I helped a few brands bring products to life, and saw how the industry worked. I had a bunch of ideas for where the hemp beverage industry could go, and how we could make that more mainstream, how we could cater to what that is or is not in Wisconsin. 

We are making functional beverages, specifically nonalcoholic cocktails that use hemp as an ingredient, instead of being a cannabis company.

Big ideas behind the name

Amy : We named our business as a nod to our state motto with the idea we want to move the beverage industry forward in this state and make mainstream a nonalcohol brand that we can be just as proud of as Leinenkugel’s or New Glarus.  

How quitting drinking inspired this new path

Paul : While working at Octopi I was the guy who signed off on the Brite tanks in the morning. ... I started drinking at 7 a.m. every morning. My job involved flavoring and creating new drinks most days of the week. I drank a lot. ...

I quit drinking in 2021. It just got to be too much. I don’t drink soda or sugary stuff, take alcohol off the table, and I’m not great with gluten, so NA beers are off the table. So it was always just water. We thought it would be nice to have an adult beverage that was still sophisticated and tasted good. If we had a desire for drinks like these and there was an absence, then others must be looking for them. 

Why they chose Wausau

Amy : We met in 2011 in Holmen. I was the church music director. He had just moved back home. He sat in the back row. Each week he moved up a row. Then he joined the choir. 

I had a master's degree in vocal accompanying. ... I was determined to move away from a small town. We lived in Chicago for a year, our first son was born there. We decided to move to Madison because all of our family is in Wisconsin. We moved for my job at a large parish there. Then Paul got an opportunity to run a lab in Wausau. 

Paul : I wanted to do beverages. This company said there would be an opportunity. After a few months it was clear that wouldn’t happen. ...

Amy : We say right train, wrong station. What brought us to Wausau is not what kept us here. We have three boys: 9, 8 and 5. We mountain bike, ski and do things as a family. Wausau is perfect for us. We decided to dig into this community and something we love. I had quit all of my music jobs, so let’s just do this together. We went 100% all-in.

Paul : We knew the industry would get bigger. We were confident with my background in formulations, chemistry and supplements, that we would be OK. And if not, then we would both get jobs. 

What you’ll find in the tasting room

Amy : The taproom is a visible presence in the community, with unique lighting, artwork from local artists, leather couches. ... This is a place for people to come and enjoy a drink, neither a coffee shop nor a bar. 

What they want you to know

Paul: We don't use fake sugars. I’m not a fake sugar fan or stevia fan. I don’t do high-sugar things. We wanted to do cocktails that stood on their own without the alcohol. ... Mouthfeel plays a big role in that. Alcohol provides so much mouthfeel. You can’t just take it out and expect it to taste the same or have the same feel as the alcoholic version. ... We create our cocktails with quality ingredients. We don’t dilute with apple or white grape (juice), we use guava or passion fruit paste. ...

Amy : We call them soft cocktails, just as complex without the booze, and functional (social) seltzers because the functional part (with CBD, ashwagandha, and a full spectrum hemp extract) is a pleasant calm feeling that I relate to, not a high.

Paul : More potassium than a Gatorade, less sodium than a Gatorade.

Amy : Almost like a sports drink and a mocktail had a baby, the soft cocktail is made with real juice, natural extracts and electrolytes, slightly carbonated. I give it to my kids. 

The first drink they developed 

Paul : The In-Fashioned. The parameters for that was creating a drink that reminded people of Wisconsin’s official state cocktail, the old fashioned.  

Amy : The brandy old fashioned sweet, with the cherries the way my dad would make it. 

Paul : There is a large amount of alcohol to replace (for) the taste, texture and mouthfeel experience. It took a little bit of time. We used blood orange, tart cherry, and molasses to provide depth. It tastes pretty close.

Amy : It is my favorite drink. Paul doesn’t even like old fashioneds and he did a really good job making this one.

Paul : The name In-Fashioned, we wanted people to know it is OK to be sober and not drink. It is not a new fashion. It is in fashion. 

The bestsellers

Amy : The In-Fashioned and Salted Guava Sour, they are both equally popular. 

Paul : My favorite is the Salted Guava Sour. I made that one because when I was still drinking, I liked this guava gose beer.

How to drink and serve

Amy : We suggest serving them in glassware with a garnish. The In-Fashioned would be in a lowball. The Citrosa is our version of a mimosa, we showcase that in a champagne flute with an orange. The Spicy Jalapeno Passion Fruit we like in a margarita glass with a salted rim. The guava is in a pint glass with lemon wedge like a beer.  

Here in our shop we have 100% aluminum recyclable cups. People can take their beverages to go and walk around downtown. We give a discount to people who come back with the cup.

Using ideas from game theory to improve the reliability of language models

Imagine you and a friend are playing a game where your goal is to communicate secret messages to each other using only cryptic sentences. Your friend's job is to guess the secret message behind your sentences. Sometimes, you give clues directly, and other times, your friend has to guess the message by asking yes-or-no questions about the clues you've given. The challenge is that both of you want to make sure you're understanding each other correctly and agreeing on the secret message.

MIT Computer Science and Artificial Intelligence Laboratory (CSAIL) researchers have created a similar "game" to help improve how AI understands and generates text. It is known as a “consensus game” and it involves two parts of an AI system — one part tries to generate sentences (like giving clues), and the other part tries to understand and evaluate those sentences (like guessing the secret message).

The researchers discovered that by treating this interaction as a game, where both parts of the AI work together under specific rules to agree on the right message, they could significantly improve the AI's ability to give correct and coherent answers to questions. They tested this new game-like approach on a variety of tasks, such as reading comprehension, solving math problems, and carrying on conversations, and found that it helped the AI perform better across the board.

Traditionally, large language models answer one of two ways: generating answers directly from the model (generative querying) or using the model to score a set of predefined answers (discriminative querying), which can lead to differing and sometimes incompatible results. With the generative approach, "Who is the president of the United States?" might yield a straightforward answer like "Joe Biden." However, a discriminative query could incorrectly dispute this fact when evaluating the same answer, such as "Barack Obama."

So, how do we reconcile mutually incompatible scoring procedures to achieve coherent, efficient predictions? 

"Imagine a new way to help language models understand and generate text, like a game. We've developed a training-free, game-theoretic method that treats the whole process as a complex game of clues and signals, where a generator tries to send the right message to a discriminator using natural language. Instead of chess pieces, they're using words and sentences," says Athul Jacob, an MIT PhD student in electrical engineering and computer science and CSAIL affiliate. "Our way to navigate this game is finding the 'approximate equilibria,' leading to a new decoding algorithm called 'equilibrium ranking.' It's a pretty exciting demonstration of how bringing game-theoretic strategies into the mix can tackle some big challenges in making language models more reliable and consistent."

When tested across many tasks, like reading comprehension, commonsense reasoning, math problem-solving, and dialogue, the team's algorithm consistently improved how well these models performed. Using the ER algorithm with the LLaMA-7B model even outshone the results from much larger models. "Given that they are already competitive, that people have been working on it for a while, but the level of improvements we saw being able to outperform a model that's 10 times the size was a pleasant surprise," says Jacob. 

"Diplomacy," a strategic board game set in pre-World War I Europe, where players negotiate alliances, betray friends, and conquer territories without the use of dice — relying purely on skill, strategy, and interpersonal manipulation — recently had a second coming. In November 2022, computer scientists, including Jacob, developed “Cicero,” an AI agent that achieves human-level capabilities in the mixed-motive seven-player game, which requires the same aforementioned skills, but with natural language. The math behind this partially inspired the Consensus Game. 

While the history of AI agents long predates when OpenAI's software entered the chat in November 2022, it's well documented that they can still cosplay as your well-meaning, yet pathological friend. 

The consensus game system reaches equilibrium as an agreement, ensuring accuracy and fidelity to the model's original insights. To achieve this, the method iteratively adjusts the interactions between the generative and discriminative components until they reach a consensus on an answer that accurately reflects reality and aligns with their initial beliefs. This approach effectively bridges the gap between the two querying methods. 

In practice, implementing the consensus game approach to language model querying, especially for question-answering tasks, does involve significant computational challenges. For example, when using datasets like MMLU, which have thousands of questions and multiple-choice answers, the model must apply the mechanism to each query. Then, it must reach a consensus between the generative and discriminative components for every question and its possible answers. 

The system did struggle with a grade school right of passage: math word problems. It couldn't generate wrong answers, which is a critical component of understanding the process of coming up with the right one. 

“The last few years have seen really impressive progress in both strategic decision-making and language generation from AI systems, but we’re just starting to figure out how to put the two together. Equilibrium ranking is a first step in this direction, but I think there’s a lot we’ll be able to do to scale this up to more complex problems,” says Jacob.   

An avenue of future work involves enhancing the base model by integrating the outputs of the current method. This is particularly promising since it can yield more factual and consistent answers across various tasks, including factuality and open-ended generation. The potential for such a method to significantly improve the base model's performance is high, which could result in more reliable and factual outputs from ChatGPT and similar language models that people use daily. 

"Even though modern language models, such as ChatGPT and Gemini, have led to solving various tasks through chat interfaces, the statistical decoding process that generates a response from such models has remained unchanged for decades," says Google Research Scientist Ahmad Beirami, who was not involved in the work. "The proposal by the MIT researchers is an innovative game-theoretic framework for decoding from language models through solving the equilibrium of a consensus game. The significant performance gains reported in the research paper are promising, opening the door to a potential paradigm shift in language model decoding that may fuel a flurry of new applications."

Jacob wrote the paper with MIT-IBM Watson Lab researcher Yikang Shen and MIT Department of Electrical Engineering and Computer Science assistant professors Gabriele Farina and Jacob Andreas, who is also a CSAIL member. They presented their work at the International Conference on Learning Representations (ICLR) earlier this month, where it was highlighted as a "spotlight paper." The research also received a “best paper award” at the NeurIPS R0-FoMo Workshop in December 2023.
